Guarantees for Claims Segment
In this segment, the firm confirms the current security or guarantee the Law Corporation.
Under State Bar Rule 3.158, as part of its registration, a law corporation must submit a Law Corporation Guarantee. This Guarantee affirms that shareholders are jointly and severally liable for payment of any errors and omissions claims arising from the corporation’s professional services.
The State Bar’s Schedule of Charges and Deadlines outline the required minimum and maximum security claim amounts. To ensure compliance, the Agency Billing system calculates the minimum and maximum Guarantee amounts based on the number of attorneys associated with the law corporation.
⇒ Please Note: Newly registered law corporations will follow a different process to meet the guarantee requirements compared to returning law corporations that are renewing. Please identify your application type and review the instructions below that correspond to your selection.
Proof of Security
Each law corporation must provide the State Bar with proof of security for claims for errors and omissions of the corporation or any person who practices law on behalf of the corporation, as an employee or otherwise.
Provide proof of security by completing the guarantee portion of the application, with the exception of certain law corporations as specified in State Bar Rule 3.158.
The Guarantee reflects only the minimum and maximum security required under rule 3.158. It may not represent the law corporation’s total errors and omissions insurance coverage.
All active shareholders must have a current, signed guarantee document on file to complete the annual registration application on record with the State Bar. The guarantee segment of the application is emailed to shareholders through DocuSign. Please ensure all shareholder information is correct in the application to avoid any delays.
⇒ Please Note: An application cannot be approved without the electronic signatures of all shareholders on the guarantee.
Proof of Security for Annual Renewal

Non-Profits and Not a Non-Profit
1. Review the information and confirm it is correct.
- Report whether the Law Corporation is a non-profit. If registering or renewing registration for a Non-Profit, submit proof of insurance in place of completing the guarantee.
- If “Yes” is selected:
- Upload a PDF copy of the Insurance document/s.
- Insurance documents will be required each renewal application.
- If “No” is selected:
- Review the table to confirm the counts per type is accurate. The user cannot modify th gaurantee amounts by directly changing the values listed.

- Confirm the Guarantee Date Effective is entered.

- If the counts are not accurate, review the segment where shareholders, attorneys, and/or business relationships are reported, and confirm that the number of individuals who practice law on behalf of the corporation—whether as employees or otherwise—is reported correctly.
